Coffee Machine Rental Agreement

THIS AGREEMENT is made effective as of the quote signing date between Coffee On Cue PTY LTD, (“Lessor”), and [Customer Name], (“Lessee”), who is the authorised signatory. WHEREAS, the Lessor desires to lease to the Lessee, and the Lessee desires to lease from the Lessor, a coffee machine, subject to the terms and conditions set forth herein. NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties agree as follows:

1. Rental Duration

The rental term shall be for a period of 24 or 36 months, as selected by the Lessee.

2. Maintenance and Support

The Lessor shall provide an annual service or at the time of 55,000 cups being brewed, whichever occurs sooner, per annum within the contract period. Emergency technical support shall be provided with a response time within 48 hours. Support call-outs may be subject to a call-out fee plus parts and labour if not covered by the manufacturer's warranty or not an annual service.

3. Minimum Coffee Supply Commitment

The Lessee agrees to purchase a minimum of 10 kilos of coffee per month.

4. Equipment Options

A base machine will be provided. The Lessor will guide the selection based on the estimated cup volume.

5. Installation and Training

Installation costs are covered, including an initial onboarding session. Training on machine calibration, menu updates, and cleaning responsibilities will also be provided.

6. Insurance

The equipment shall be insured by the Lessor until delivery. Thereafter, the Lessee is responsible for insuring the equipment.

7. Early Termination

In the event of early termination by the Lessee, the Lessee must pay the remainder of the contract balance in full to release ownership of the equipment.

8. Payment Terms

Monthly billing for the previous month’s usage and rental will be issued, with a 7-day payment term.

9. Delivery and Supply

Coffee supplies will be delivered monthly or as agreed upon, based on the Lessee’s needs.

10. Renewal and Upgrade Options

At the end of the contract, the Lessee has options to renew or upgrade the machine.

11. Sustainability

Recommendations for organic waste disposal will be provided.

12. Cleaning and Maintenance

The Lessee will be trained in cleaning with supplies provided. The warranty does not cover technical issues arising from cleaning errors. A 12-month part warranty is included.

13. Ownership

The property shall remain legally owned by Coffee On Cue PTY LTD until the cessation of this agreement.

This agreement reflects the complete understanding of the parties and supersedes all prior agreements, oral or written, relating to the subject matter. This agreement may only be amended in writing, signed by both parties.
